We design, build, operate, and maintain cyber-physical solutions for the nation’s most mission-critical facilities, secure environments, and complex infrastructure. The Corporate Development Analyst will support the full lifecycle of M.C. Dean’s M&A and Corporate Venture Capital (CVC) activity, from sourcing and screening through due diligence, execution, and integration or portfolio support. You will work closely with senior leadership and gain broad exposure to how the company evaluates acquisitions and strategic venture investments. M&A Sourcing and Pipeline – Build and manage a database of acquisition candidates and intermediaries, own proactive outreach to prospective targets, and maintain regular contact with investment bankers and other intermediaries. Venture Investment Sourcing – Scan the startup and emerging-technology landscape, build relationships with venture capital firms and founders, and identify minority investment opportunities aligned with M.C. Dean’s strategy. Opportunity Screening – Screen inbound and proactively sourced M&A and CVC opportunities, perform initial valuation and strategic-fit analysis, and prepare clear recommendations for senior leadership. Financial Modeling and Analysis – Develop financial models (such as DCF, comparable company, precedent transaction, and returns analyses), market research, investment memos, and presentations that support deal decisions. Due Diligence and Execution – Coordinate the transaction process from initial evaluation through diligence, negotiation, and close, working with finance, legal, operations, and outside advisors. Support the review of letters of intent, term sheets, and definitive agreements. Integration and Portfolio Support – Support post-acquisition integration planning and tracking, monitor CVC portfolio company performance, and prepare regular pipeline and portfolio updates for executive leadership. Qualifications Education: Bachelor’s Degree in accounting, finance, or related field with 5+ years of experience Minimum 2 years of work experience in investment banking, venture capital, private equity, FP&A, or corporate development. Strong financial modeling and valuation skills, with a detailed understanding of financial statements, budgets, and other corporate financial documentation. Advanced proficiency in Excel. Proven analytical, project management, and organizational skills, with strong written and verbal communication skills, including the ability to present to senior executives. Demonstrated ability to identify, prioritize, structure, and execute detailed, fact-based analysis and solutions to sophisticated business problems. Preferred Qualifications: Direct experience with M&A or venture transactions, including valuation, due diligence, and deal documentation. Familiarity with engineering, construction, technology, or Federal Government–related businesses. MBA, CFA, or similar advanced credential. Experience with deal and market data tools (for example, PitchBook, Capital IQ, or a CRM for deal tracking).
